CODE OF CONDUCT AND ETHICS


This Code of Conduct and Ethics has been revised and adopted by the Board of Directors of HEVEABOARD BERHAD on 30 March 2018. 

1. INTRODUCTION

HeveaBord Group is committed to a high standard of corporate accountability.

This Code of Conduct and Ethics (“Code”) formalises the standard of responsibility, obligations, integrity and ethical conduct of the Board, management, employees and anyone who is employed by or works at or engaged with the Company and its subsidiaries (“Covered Parties”). 

2. PURPOSE 

This Code is formulated to enhance the standard of corporate governance and corporate behaviour with the intention of achieving the following aims:

i.      Upholding the spirit of responsibility in line with the legislation, regulations and guidelines for administrating the Company and its subsidiaries (“Group”); and

ii.      Ensuring delivery of shareholders’ value through the sustainable and efficient operation of the Group.

3. OBLIGATION

The Covered Parties must:

• act in the best interests of the Group with honesty, fairness, and integrity;

• conduct themselves in an ethical and a professional, courteous and respectful manner and not take improper advantage of their position;

• deal fairly with all stakeholders;

• comply with this Code and other policies and procedures of the Group;

• comply with the laws, rules and regulations which apply to the Group and its operation;

• comply with all relevant laws and regulations concerning the Covered Parties’ employment/engagement;

• not use the Company’s property or position for personal or third-party gain;

• not solicit or accept from or give to stakeholders gifts or other benefits in connection with his/her employment or service or engagement at the Group;

• not use any information or opportunity received by them in their capacity and position in a manner that would be detrimental to the Group’s interests;

• act in a manner to enhance and maintain the reputation of the Group;

• disclose any personal interest or conflict/potential conflict of interest that may affect or have the potential to affect the Covered Parties’ ability to undertake his/her role or to make an appropriate decision or otherwise be divergent with the Group’s interest;

• respect the confidentiality of information relating to the affairs of the Group or belonging to a third party acquired in the course of their service or duties, except when authorised or legally required to disclose such information;

• not use confidential information acquired in the course of their service or duties for their personal advantage or for the advantage of any other entity;

• not take advantage or misuse a third party’s property or information;

• help to create and maintain a culture of high ethical standards and commitment to compliance;

• not enter into any arrangement or participate in any activity that would conflict with the interest of the Group;

• not engage in any outside business, professional or other activities that would directly or indirectly adversely affect the Group;

• not knowingly participate in any illegal or unethical activity; and

• immediately report any concern about possible breach of the Code, or other reportable matter to his/her immediate superior.
